("Mannatech") (NASDAQ:MTEX) common stock during the period between August 10, 2004 and May 9, 2005 (the "Class Period"). The complaint charges Mannatech and certain of its officers and directors with violations of the Securities Exchange Act of 1934. Mannatech develops nutritional supplements, topical products, and weight-management products. The complaint alleges that during the Class Period, defendants caused Mannatech's shares to trade at artificially inflated levels by issuing a series of materially false and misleading statements regarding the Company's business and prospects and by concealing improprieties by sale associates, allowed and encouraged by the Company. This caused the Company's stock to trade as high as $26.04 per share during the Class Period. Defendants took advantage of this inflation, selling or otherwise disposing of 178,100 shares of their Mannatech stock then valued at more than $3.7 million. On May 9, 2005, Barron's published a story on Mannatech detailing CEO Caster's history and questioning the Company's sales associates' methods and their "seemingly irrepressible inclination . . . to make extraordinary therapeutic claims for the supplements," which had "irked some foreign regulators." The story also discussed a civil suit filed in Los Angeles County against Mannatech for "'negligent misrepresentation'" and "'conspiracy to commit fraud'" stemming from alleged misconduct by its sales associates. On this news, Mannatech's stock fell to as low as $11.64 per share on May 10, 2005 before closing at $12.15 per share on volume of 2.2 million shares. According to the complaint, the true facts, which were known by each of the defendants but concealed from the investing public during the Class Period, were as follows: (a) the Company was at least tacitly encouraging associates to make misleading claims about the Company's products; (b) contrary to defendants' claims of fiscal 2005 growth and profitability, the Company would experience much worse results once its misleading practices were disclosed; (c) the Company lacked the controls to prevent false statements by associates; and (d) as a result of above, the Company's earnings were based on misleading claims about the efficacy of its products. Plaintiff seeks to recover damages on behalf of all purchasers of Mannatech common stock during the Class Period (the "Class"). CONSHOHOCKEN, Pa.--(BUSINESS WIRE)--Aug. 29, 2005--Goldman Scarlato & Karon, P.C., a law firm with offices in Pennsylvania and Ohio, announces that a lawsuit has been filed in the United States District Court for the Western District of Pennsylvania, on behalf of persons who have purchased or otherwise acquired the publicly traded securities of World Health Alternatives, Inc. ("World Health" or the "Company") (OTCBB: WHAIE) between October 7, 2003 and August 18, 2005, inclusive, (the "Class Period"). The lawsuit was filed against World Health, certain officers and directors and its former auditors ("Defendants").

The complaint alleges that Defendants violated Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 and Rule 10b-5 promulgated thereunder. Specifically, the complaint alleges that the Company's financial statements during the class period were materially false and misleading as the Company (1) underpaid taxes owed by approximately $4 million, and thus overstated net income by the same amount; (2) was in breach of its lending agreements as a result of having misrepresented its financial condition; (3) misrepresented the amount of debentures and warrants associated with the Company's preferred stock; and (4) misstated, in public filings, the academic credentials of its President and Chief Executive Officer. As a result of this activity, the Company has terminated its external auditor, its CEO has resigned, and the Company's audit committee has retained outside counsel to assist with an investigation into the allegations. The Company has also announced that it will be restating its financial results.

The announcements of this activity shocked the market and World Health's share price has plummeted nearly 86% to trade as low as $0.25 per share, after closing at $1.85 per share on August 18, 2005.

Claims Defective Parts Led to the Death of a Mother & Daughter Traveling to Wedding

MT. The complaint was filed on August 23, 2005 in Circuit Court of Green County, Missouri on behalf of John Hollifield, father and husband of victims Brenda Hollifield and Kathy Hollifield, who were both killed in a motor vehicle accident involving the rollover of Ms. Hollifield's 1998 Ford Expedition. The action against Ford claims that their known defects in both the door latch system and safety restraints led to the death of these two women, and the plaintiff is therefore filing for negligence, breach of warranty, strict liability, fraud and pecuniary loss and damages.

According to the claim, on November 22, 2003 in Lincoln County, Colorado, Ms. Hollifield was driving the aforementioned Ford Expedition from Missouri to Colorado with her mother to prepare for her wedding which was to take place days later in Colorado. During the trip, the vehicle experienced a sudden loss of stability and control which resulted in uncontrollable steering and multiple rollovers. As a result of the vehicle's allegedly defective stability, safety restraints, and door latch mechanisms, both Kathy and Brenda Hollifield (who were properly wearing their seatbelts) were thrown from the vehicle and died. The claim alleges that Ford Motor Company was fully aware of the Expedition's faulty door latch assembly and seatbelt restraint system; yet has undertaken steps to fraudulently conceal this information from the general public, thereby threatening public health and safety.
